「関心表明書」、「意向確認書」とも称されるLOI（Letter of Intent）は、特定のプロジェクトや案件に対する検討実施の約束や、主要な契約条件への基本的な合意を明記する書類です。交渉の重要なターニングポイント、例えば大勢の合意が成れた時点などで、一般的に締結されます。LOIは現状の把握や、両者の意思の確認を通じて契約へと進展するための一歩となりますが、その内容が法的な拘束力を持つことは少ないのが特徴です。
